Terms & Conditions of Sale

These Terms and Conditions (“Terms”) set out the basis on which we supply products to you when you order from our website.

By placing an order with ACE Accessories, you agree to be bound by these Terms. Please read them carefully before placing your order. If you do not agree to these Terms, you must not use this website to purchase products.

2. Applicability of these Terms

2.1 These Terms apply to all orders placed via our website www.ace-accessories.co.uk.

2.2 If you are a consumer, you have certain legal rights under UK (or local) consumer law. Nothing in these Terms seeks to limit or exclude those statutory rights.

2.3 If you are a business customer, different provisions may apply (see clause 16). In the event of conflict, any separate written contract agreed between us and a business customer will prevail.

3. Use of our website

3.1 Your use of our website is also governed by:

  • Our Privacy Policy (which explains how we handle your personal data);

  • Our Cookie Policy (if published); and

  • Our Accessibility Statement.

Please read these documents carefully as they form part of the terms applicable to your use of the site.

3.2 We aim to keep the website available and accurate, but we cannot guarantee that:

  • The website will be available at all times; or

  • All content, descriptions or prices will be error-free.

We may suspend, withdraw or change parts of the site for business or operational reasons.

4. Placing an order

4.1 To place an order, you must:

  • Be at least 18 years old; and

  • Have the legal capacity to enter into a contract.

4.2 When you submit an order on our website, this is an offer to buy the products from us.

4.3 We will acknowledge your order via email. This acknowledgement does not mean that your order has been accepted.

4.4 A contract is formed only when we send you an order confirmation email stating that we have accepted your order and will dispatch the products. We reserve the right to decline an order for any reasonable reason (for example, if we suspect fraud, if the product is out of stock, or if there is an error in pricing).

5. Products and descriptions

5.1 We take care to ensure that product descriptions, images and specifications on the website are accurate and up to date. However:

  • Colours, shades and finishes may appear differently on various screens or devices;

  • There may be minor variations in sizing, materials or design as part of ongoing product improvement, provided these do not materially affect performance or quality.

5.2 If you rely on any particular characteristic (for example, a specific dimension, standard or compatibility), please contact us before ordering so we can confirm suitability.

5.3 Some products (for example, protective equipment) are designed for use by trained professionals. It is your responsibility to ensure that you use products safely and in accordance with any instructions and relevant industry guidelines.

6. Prices and payment

6.1 All prices on our website are shown in [insert main currency, e.g. GBP (£)] and are inclusive/exclusive of VAT as clearly indicated on the site.

6.2 We take reasonable care to ensure prices are correct, but if we discover an error:

  • If the correct price is lower, we will charge the lower amount and continue with the order;

  • If the correct price is higher, we will contact you for instructions before accepting the order or cancel your order and refund any payment.

6.3 We accept payment by the methods shown at checkout. You must pay for the products in full at the time of placing your order.

6.4 For international orders, your card provider or payment service may apply currency conversion fees or charges. These are outside our control.

7. Delivery

7.1 Delivery options, timeframes and charges will be displayed at checkout and may vary depending on your location.

7.2 We will deliver the products to the address you provide at checkout. Please ensure this information is accurate. We are not responsible for non-delivery or delay caused by incorrect or incomplete address details.

7.3 Delivery times are estimates. We will make reasonable efforts to deliver within the indicated timescales, but we are not liable for delays caused by events beyond our reasonable control, including courier issues, customs delays or adverse weather.

7.4 Risk in the products passes to you when they are delivered to the delivery address you provided. Ownership of the products passes to you once we have received full payment.

7.5 For international deliveries, you are responsible for:

  • Checking whether the products can be legally imported into your country; and

  • Paying any import duties, taxes or customs charges that may apply.

8. International customers

8.1 We ship to various countries outside the UK, as listed on our website. We may refuse orders from certain territories for legal or logistical reasons.

8.2 You are responsible for complying with local laws and regulations in the country where the products are to be used or delivered.

8.3 Our Refunds and Returns Policy explains how returns, refunds, customs duties and shipping costs are handled for EU and worldwide customers.

9. Your rights – faulty or mis-described products

9.1 If a product is faulty, damaged or not as described, you may be entitled to a repair, replacement or refund under the Consumer Rights Act 2015 (for UK consumers) or equivalent local legislation for overseas customers.

9.2 Please inspect your order promptly and contact us at info@ace-accessories.co.uk with:

  • Your order number;

  • Details of the fault; and

  • Photographs (if possible).

9.3 We will work with you to resolve the issue in line with our Refunds and Returns Policy, which forms part of these Terms.

10. Change of mind / cancellations / returns

10.1 If you are a UK or EU consumer buying online, you may have a 14-day cooling-off period from the day after you receive your order, during which you may change your mind and cancel the contract for any reason, subject to certain exceptions.

10.2 For customers outside the UK/EU, we offer a similar 14-day change-of-mind period as a goodwill policy, as explained in our Refunds and Returns Policy.

10.3 Some items cannot be returned for a change of mind (for example, personalised products or certain hygiene-sensitive items once used). Details are set out in our Refunds and Returns Policy.

10.4 The process for returns, who pays for return shipping, and how refunds are handled is explained in our Refunds and Returns Policy, which should be read in conjunction with these Terms.

11. Refunds and Returns Policy

11.1 Our Refunds and Returns Policy is incorporated into these Terms by reference and forms part of our contract with you.

11.2 In the event of any conflict between these Terms and the Refunds and Returns Policy in relation to refunds or returns, the Refunds and Returns Policy will prevail.

12. Limitation of our liability (consumers)

12.1 Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence;

  • Fraud or fraudulent misrepresentation; or

  • Any other liability that cannot be limited or excluded by law.

12.2 If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or our failure to use reasonable care and skill. We are not responsible for any loss or damage that is not foreseeable.

12.3 We only supply products for domestic and private use by consumers. If you use the products for any commercial, business or resale purpose, we will have no liability for:

  • Loss of profit;

  • Loss of business, contracts or revenue;

  • Business interruption; or

  • Loss of business opportunity.

13. Events outside our control

13.1 We are not liable for any failure or delay in performing our obligations under these Terms where such failure or delay is caused by an event outside our reasonable control (a “Force Majeure Event”), including but not limited to:

  • Strikes, lock-outs or other industrial action;

  • Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war or threat or preparation for war;

  • Fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic or other natural disaster;

  • Failure of telecommunications or transport networks;

  • Imposition of import/export restrictions or customs delays.

13.2 If a Force Majeure Event occurs, we will contact you as soon as reasonably possible and take steps to minimise the effect. If there is a risk of substantial delay, you may contact us to end the contract and receive a refund for any products you have paid for but not received.

14. Intellectual property

14.1 All content on the website, including text, images, logos, designs, graphics, product names and branding, is owned by or licensed to us and is protected by copyright, trade mark and other intellectual property rights.

14.2 You may not:

  • Copy, reproduce or exploit our content for commercial purposes without our prior written consent;

  • Remove any trade marks, copyright notices or proprietary markings from our content or products.

14.3 “ACE Accessories” and any associated logos or product names may be registered or unregistered trade marks of [insert company name]. Unauthorised use is strictly prohibited.

15. Data protection and privacy

15.1 We will collect and process your personal data in accordance with UK data protection law, including the UK GDPR and the Data Protection Act 2018.

15.2 Our Privacy Policy explains:

  • What personal data we collect;

  • The purposes for which we use it;

  • The lawful bases for processing; and

  • Your rights in relation to your data.

15.3 By placing an order with us, you acknowledge that your personal data will be processed as set out in our Privacy Policy.

16. Additional terms for business customers

This clause 16 applies only if you are purchasing as a business (i.e. not as a consumer).

16.1 You confirm that you have authority to bind the business on whose behalf you are placing the order.

16.2 All warranties, conditions or other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the contract.

16.3 Our total liability to you in respect of all losses arising under or in connection with the contract (whether in contract, tort (including negligence), breach of statutory duty or otherwise) shall be limited to the total price paid for the products under that contract.

16.4 We will not be liable for:

  • Loss of profits, sales, business or revenue;

  • Loss of or corruption to data, information or software;

  • Loss of business opportunity, goodwill or reputation; or

  • Any indirect or consequential loss.

17. Changes to these Terms

17.1 We may update these Terms from time to time, for example to reflect:

  • Changes in our business; or

  • Changes in laws or regulatory requirements.

17.2 The version of the Terms in force at the time you place your order will apply to that order. We recommend that you print or save a copy of these Terms for your records.

18. Governing law and jurisdiction

18.1 These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by English law.

18.2 If you are a consumer, you may also benefit from any mandatory consumer protection rules of the country where you live. You may bring legal proceedings in the English courts or in the courts of your country of residence.

18.3 If you are a business, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
